Terms of Service

1. Agreement to terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you” or “User”) and FiveToClose (“Company,” “we,” “us,” or “our”) governing your access to and use of wheretheyask.com, the WhereTheyAsk application, related checkout, and support (collectively, the “Services”). By creating an account, signing in, or completing a purchase, you represent that you are at least eighteen (18) years of age and have the legal capacity to enter into these Terms. If you do not agree, do not use the Services.

2. Description of services

WhereTheyAsk is a drafting and research tool. It may (a) fetch publicly available pages you submit; (b) search publicly available discussion forums; and (c) generate suggested replies, posts, emails, and other copy for you to review. The Services do not publish, post, or send communications on your behalf. You remain the publisher of anything you copy out of the product.

Content is informational. We do not provide legal, financial, tax, investment, or professional marketing-compliance advice. Results, including traffic, replies, or sales, are not guaranteed.

3. Accounts and eligibility

You must sign in with a verified Google account you are authorized to use. You are responsible for activity under your account. Notify us promptly at support@fivetoclose.cloud if you believe your account has been compromised. We may refuse, suspend, or terminate accounts that appear fraudulent, abusive, or in violation of these Terms.

4. Subscriptions, billing, and cancellation

Paid plans are stated on the pricing page and at checkout in United States dollars. Current standard prices are forty-seven dollars ($47.00) per month, or seventy-nine dollars ($79.00) every eight (8) weeks. Those figures are the amounts charged; there is no separate introductory bait price. Taxes may apply.

Payments are processed by Stripe. Subscriptions renew automatically at the then-current plan price until you cancel. Cancel in Account or via the Stripe billing portal. Cancellation takes effect at the end of the period already paid. You keep access until that date. Refunds, if any, are governed by the Refund Policy.

Chargebacks initiated without first contacting support may result in immediate suspension.

5. License and intellectual property

The Services, including software, copy, trademarks, and trade dress, are owned by FiveToClose or its licensors. Subject to these Terms and payment of applicable fees, we grant you a personal, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Services during your paid (or complimentary operator) term.

Drafts generated for you may be used in your own marketing. You may not resell the Service, scrape it, reverse engineer it, or use it to build a competing product.

You retain rights in content you submit (offer URLs, voice samples, descriptions). You grant us a limited license to process that content solely to operate the Services for you.

6. Acceptable use

You agree not to:

• Use generated copy to spam, impersonate, harass, or deceive;
• Violate the terms of Reddit, X, or any other platform where you choose to post;
• Submit unlawful, infringing, or confidential third-party material;
• Attempt unauthorized access, interfere with the Service, or circumvent usage limits;
• Misrepresent drafts as having been posted or approved by WhereTheyAsk or FiveToClose.

We may suspend or terminate access for violations.

7. Your responsibility for publication

You are solely responsible for reviewing, editing, and publishing any draft. Platform bans, account restrictions, copyright claims, and advertising or community-guideline violations arising from your posts are your responsibility. We do not log into your social or email accounts.

8. No warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED AVAILABILITY. WE DO NOT WARRANT THAT ANY DRAFT, THREAD SUGGESTION, OR DAILY PLAN WILL PRODUCE REPLIES, TRAFFIC, CUSTOMERS, REVENUE, OR ANY PARTICULAR OUTCOME. THIRD-PARTY SITES AND MODELS MAY CHANGE, FAIL, OR RETURN INACCURATE MATERIAL.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FIVETOCLOSE AND ITS OFFICERS, AFFILIATES, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, ACCOUNTS, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS, REGARDLESS OF THEORY OF LIABILITY. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT.

10. Indemnification

You agree to defend, indemnify, and hold harmless FiveToClose and its affiliates from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your use of the Services, content you submit or publish, your violation of these Terms, or your infringement of any third-party right.

11. Third-party services

The Services may call Google, Stripe, Reddit, xAI, and other third parties. Your use of those services is governed by their terms. We are not responsible for third-party acts, outages, ranking, moderation, pricing, or policy changes.

12. Modifications

We may modify the Services or these Terms at any time. Material changes will be indicated by updating the effective date. Continued use after changes become effective constitutes acceptance of the revised Terms.

13. Governing law and disputes

These Terms shall be governed by the laws applicable in the jurisdiction where FiveToClose primarily conducts business, without regard to conflict-of-law principles, except where mandatory consumer protections of your place of residence apply. Courts in that jurisdiction shall have exclusive venue for disputes, subject to applicable consumer rights to bring claims in your local courts where required by law.

14. Severability and entire agreement

If any provision of these Terms is held unenforceable, the remaining provisions remain in full force. These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and FiveToClose regarding the Services and supersede prior understandings on the same subject.
